鑒于招標人為獲得臨床需要使用的藥品而進行集中招標采購，并接受了投標人對上述藥品的投標。現(xiàn)雙方簽定藥品購銷合同，本合同在此聲明如下: 本合同中的詞語和術語的含義與《采購文件》通用合同條款中定義相同。

In regard to the medicine requirement of clinical test, the tenderee is about to do the medicine centralized tender procurement, and accepts the foregoing bidding procurement from the bidder. Both parties have signed the medicine trading contract, which states hereby: the meaning of the words and terms in the contract are exactly the same as in the general terms of the contract on “procurement document”.

1. 下述文件是本合同不可分割的一部分，并與本合同一起閱讀和解釋：投標人提交的投標函(參見《采購文件》); 藥品需求一覽表(參見《采購文件》);中標(議價)品種通知書(參見《中標(議價)品種通知書》);通用合同條款及前附表(參見《采購文件》);藥品集中招標采購購銷合同附表。

The following documents are integral part of the contract, shall be read and construed with the contract: the letter of tender from bidder ( see the “procurement document”);medicine demand list(see the “procurement document”); notice of categories on bidding(negotiation price) ( see the” notice of categories on bidding” (negotiation price) ); the general provisions of this contract and the foregoing appendices hereto( see the “procurement document”), annex chart of contract for the centralized purchasing .

2. 本合同僅為明確買方在本次藥品集中招標采購的有效采購期(__ 年___月___日, 在藥品集中招標采購統(tǒng)一形成相應藥品中標候選品種目錄時自動中止)內的藥品采購品牌、價格及服務。實際交易量以買賣雙方簽訂的批次合同為準。

This contract is only to clear the buyer in the effective medicine centralized bid procurement period (on ____, automatic suspension shall be carried out ,when all the province unified form relevant medicine for the centralized bid procurement , winning the bidding candidate sample catalogue) by offering medicine brand purchase, price and service. The actual trade volume will be subject to batch contract signed between the seller and the buyer.

3. 買方只能采購其選擇確認的成交品種，賣方無違約行為，買方不得以任何理由以其他品種替代成交品種。

The buyer shall only purchase the designated transaction type. In the event that the seller has no default activities, the buyer can’t substitute it with other brand medicine types.

4. 賣方應根據相關規(guī)定在與買方簽訂本合同時向招標代理服務機構繳納招標代理服務費，賣方未按照規(guī)定繳納招標代理服務費的，買方有權拒絕其參加以后的招標采購活動。

According to the relevant provisions, the seller shall sign this contract with seller and pay the bidding agent fees to the bidding agency. In the event that the seller failed to pay the bidding agent fees specified by the provisions, the buyer has the right to refuse any following bidding procurement activities.

5. 本合同一式二份，買賣雙方各一份。

The contract is made in two copies, respectively submitted to the buyer, the seller.

6. 本合同中涉及“參見”的內容，由招標代理機構保存?zhèn)洳椤?/p>

The content referring to the “see” part in this contract, shall be kept by the bidding agency for reference.

7. 本合同加蓋買賣雙方及招標辦和_____有限公司印章，方可生效。合同可從“招標辦”領取，“招標辦”保留對本合同的解釋權。

The contract shall be annexed with stamps of the buyer, the seller and ___ Co., Ltd, then enters into effective. The contract shall be received from the Bidding Management Office, the contract shall be construed by the Bidding Management Office.
